General Terms and Conditions of Sale

Article 1 – Purpose and scope

Version applicable from 01/11/2026.

These general terms and conditions of sale, hereinafter the “GTCS”, govern the sales of clothing, accessories and ready-to-wear items offered by professional sellers to buyers and carried out on the TIPITAM internet platform operated by the company TIPITAKA. These GTCS are reserved exclusively for consumers, within the meaning given to that term by law and case law, acting solely on their own behalf and domiciled in the European Union.

The Buyer declares that they have read these GTCS before confirming the Order. Confirmation of the Order therefore constitutes acceptance, without restriction or reservation, of the GTCS, which apply to Orders placed for Delivery in mainland France and in the continental EU.

The platform is a marketplace that puts professional sellers in contact with buyers with a view to the conclusion of distance sales contracts.

The relationships between the TIPITAM platform and buyers, on the one hand, and between TIPITAM and professional sellers, on the other, are governed by separate general terms and conditions of use (GTCU).

Article 2 – Identification of the platform

The platform is published and operated by the following company.

TIPITAKA

TIPITAKA is an online marketplace provider and an online platform operator within the meaning of the applicable provisions of the French Consumer Code (Code de la consommation).

Article 3 – Definitions

In these GTCS, the following terms have the meanings set out below.

The “Platform” means the TIPITAM website, the application and all the digital interfaces operated by TIPITAKA.

TIPITAKA means the company that publishes and operates the Platform.

The “Professional Seller” means any natural or legal person acting for purposes relating to their commercial, industrial, craft, liberal or professional activity and making an offer on the Platform.

The “Buyer” means any person who browses the Platform or places an order with a Professional Seller.

The “Consumer” means any natural person acting for purposes outside their professional activity.

The “Offer” means the listing published by a Professional Seller describing an item offered for sale.

The “Order” means any purchase of one or more items made by a Buyer from a Professional Seller by means of the Platform.

The “Sales Contract” means the contract concluded directly between the Professional Seller and the Buyer.

Article 4 – Role of TIPITAKA and status of the sellers

TIPITAKA provides an online intermediation service enabling Professional Sellers to publish offers and Buyers to select and purchase the items offered.

TIPITAKA is not the seller of the items offered on the Platform. The sales contract is concluded directly between the Professional Seller identified on the product page and the Buyer.

The Professional Seller is solely responsible for the conformity of their offer, the availability of the item, the conclusion and performance of the Sales Contract, the delivery of the item, the issuing of the invoice and the implementation of the legal guarantees.

TIPITAKA may offer additional services, in particular listing, the presentation of offers, securing or facilitating payment, messaging between the parties and assistance with the handling of complaints. These services do not confer on TIPITAKA the status of seller, unless expressly stipulated otherwise.

Article 5 – Access to the platform and buyer account

Browsing the Platform and placing an Order do not require the creation of a Buyer account.

The Buyer may, however, create an account in order to make it easier to track their Orders, access their purchase history and manage their information.

The Buyer undertakes to provide accurate, up-to-date and complete information when entering their contact details.

The Buyer is responsible for the confidentiality of their login credentials when an account is created. Any use of the account made by means of the Buyer’s login credentials is presumed to have been made by the Buyer, unless fraudulent use is reported immediately to the following address: contact@tipitam.eu.

TIPITAKA may suspend or delete an account in the event of a breach of these GTCS, fraud, attempted fraud, misuse of the Platform or conduct that infringes the rights of another user.

Article 6 – Establishment of the sales contract

The presentation of an Offer on the Platform constitutes an invitation to treat, unless otherwise indicated.

The Buyer selects the item they wish to order, checks the contents of their Order, enters the delivery address and takes note of the total price and the applicable charges.

Before final confirmation, the Buyer checks the details of the Order and corrects any input errors.

The Order is confirmed when the Buyer clicks on a button bearing the words “Order with obligation to pay” or an equivalent, clear and unambiguous wording.

Confirmation of the Order gives rise to the Buyer’s obligation to pay.

The Sales Contract is concluded between the Buyer and the Professional Seller when the Professional Seller accepts the Order or, where the Platform’s process provides for automatic acceptance, when the electronic confirmation is sent to the Buyer.

The Platform sends the Buyer an acknowledgement of receipt of the Order on a durable medium, including in particular the identification of the Professional Seller, the main characteristics of the item, the price, the delivery costs, the delivery address, the stated delivery time and the withdrawal arrangements.

If the item is unavailable, the Professional Seller informs the Buyer as soon as possible and refunds the sums paid in accordance with the arrangements set out in Article 12.

Article 7 – Prices and delivery costs

Prices are displayed in euros, inclusive of all taxes.

The applicable price is the one displayed at the time the Order is confirmed.

Delivery costs are indicated before the Order is confirmed. The total price includes the price of the item, the delivery costs and any additional charges payable.

Article 8 – Order and confirmation

An Order may cover items offered by several Sellers. In that case, each item gives rise to a separate Sales Contract with the Professional Seller concerned.

Delivery arrangements, delivery times and return addresses may vary depending on the Professional Seller. This information is presented to the Buyer before the Order is confirmed.

The Professional Seller undertakes to fulfil the Order only within the limits of the available stock of Goods. If the Goods are unavailable, the Professional Seller undertakes to inform the Buyer accordingly.

The Buyer receives an Order confirmation by e-mail at the address they have provided.

The Buyer must check that the information in the confirmation is accurate. Any error in the delivery address must be reported without delay. However, if the parcel has already been shipped, no return or exchange can be borne by the Professional Seller or the Platform. The Buyer is solely responsible for the accuracy of the delivery address.

Article 9 – Payment

Payment is made by bank card and by ApplePay. The bank cards accepted are those of the Carte Bleue, Visa and Eurocard / MasterCard networks.

At the time of payment, the Buyer is redirected to the secure interface of the payment service provider – Monetico – of CIC bank.

The transaction is debited immediately from the Buyer’s means of payment after verification of the Buyer’s details, upon receipt of authorisation for the debit from the company issuing the means of payment used by the Buyer.

The commitment to pay is irrevocable. By providing the details of their means of payment, the Buyer authorises the Seller to debit their means of payment with the amount corresponding to the total price.

To this end, the Buyer confirms that they are the holder of the means of payment to be debited and that the name appearing on the means of payment is indeed their own.

TIPITAKA does not retain the full details of the means of payment, unless otherwise stipulated in the privacy policy and in the terms and conditions of the payment service provider.

Payment is due at the time the Order is confirmed.

The Order may be cancelled or suspended if bank authorisation is refused, fraud is suspected, an irregular means of payment is used or there is any difficulty affecting the security of the payment.

Payment is collected by TIPITAKA or by its payment service provider on behalf of the Professional Seller, without this circumstance altering the status as seller of the Professional Seller identified on the product page.

Article 10 – Delivery

Deliveries are made exclusively to addresses located in mainland France and in the continental European Union, subject to the restrictions specified for each Offer and failing which the Order will be refused.

The Professional Seller indicates the applicable delivery time or date before the Order.

If no such indication is given, the Professional Seller delivers the item without undue delay and at the latest within thirty days of the conclusion of the Sales Contract, in accordance with Article L. 216-1 of the French Consumer Code.

Delivery is made to the address entered by the Buyer or according to the delivery method chosen when the Order was placed. The Buyer is solely responsible for any failure of delivery resulting from a lack of information given when the Order was placed.

The Professional Seller remains responsible for the proper performance of the delivery obligation, including where it is entrusted to a carrier, save for any legally recognised ground for exemption.

In the event of late delivery, the Buyer may ask the Professional Seller to make the delivery within a reasonable additional period. If delivery is not made within that period, the Buyer may terminate the Sales Contract under the conditions laid down in the French Consumer Code.

In the event of late Delivery, the Order is not cancelled.

The Professional Seller informs the Buyer by e-mail that delivery will be delayed. The Buyer may then decide to cancel the Order and will send the Professional Seller a notice of cancellation of the Order by e-mail.

If the Order has not yet been shipped when the Professional Seller receives the Buyer’s notice of cancellation, Delivery is stopped and the Buyer is refunded any sums debited within fourteen days of receipt of the notice of cancellation. If the Order has already been shipped when the Professional Seller receives the Buyer’s notice of cancellation, the Buyer may still cancel the Order by refusing the parcel. The Seller will then refund the sums debited and the return costs paid by the Buyer within fourteen days of receipt of the refused parcel, returned complete and in its original condition.

Article 11 – Transfer of risk

For a sale concluded between a Professional Seller and a Consumer, the risk of loss of or damage to the item passes to the Consumer when the Consumer, or a third party designated by the Consumer other than the carrier, takes physical possession of the item.

Where the Buyer chooses a carrier other than the one proposed by the Professional Seller, the risk passes in accordance with the applicable legal provisions.

The Buyer is invited to check the visible condition of the parcel and the item on receipt.

It is for the Buyer to make such reservations and complaints as they consider necessary, or even to refuse the parcel, where the parcel is clearly damaged on delivery. Such reservations and complaints must be sent to the carrier by registered letter with acknowledgement of receipt within three working days, excluding public holidays, following the date of delivery of the items.

The Buyer must also send a copy of that letter to the Professional Seller. Failure to make a complaint within the above-mentioned period extinguishes any action against the carrier. The buyer must make sure that the items delivered to them correspond to the Order. If the items do not conform in kind or quality to the specifications stated in the Delivery note, the Buyer must inform the Professional Seller by e-mail and return the items to the address indicated to them by the Professional Seller.

The absence of reservations on delivery does not deprive the Buyer of their rights under the legal guarantees.

Article 12 – Right of withdrawal

12.1 Principle

When contracting with a Professional Seller, the Consumer has a period of fourteen days in which to exercise their right of withdrawal without having to give reasons for their decision or bear any costs other than those provided for by law.

For a sale relating to an item, the period runs from the day on which the Consumer, or a third party designated by the Consumer other than the carrier, takes physical possession of the item.

Where the Order covers several items delivered separately, the period runs from receipt of the last item.

The Consumer may exercise their right of withdrawal by means of a button labelled “withdraw from the contract here” enabling the buyer to provide or easily confirm the following information:

a) Their surname and first name;

b) Detailed information making it possible to identify the contract from which they wish to withdraw;

c) Detailed information concerning the electronic means by which they wish to receive the acknowledgement of receipt of the withdrawal.

Once the withdrawal statement has been completed online, the Buyer submits it by means of a “confirm withdrawal” button.

The Platform then sends the Buyer, within a reasonable time, an acknowledgement of receipt of their withdrawal statement on paper or on any other durable medium. This acknowledgement of receipt states in particular the content of the withdrawal statement and the date and time it was sent.

Technical receipt by the Platform of the withdrawal request on behalf of the seller does not confer on TIPITAKA the status of seller.

12.2 Exclusions

The right of withdrawal does not apply, in particular, to items made to the Consumer’s specifications or clearly personalised.

The exclusion may be relied on only if the personalisation is actually established. The mere lack of immediate availability or a specific order placed with a supplier is not necessarily sufficient to establish personalisation within the meaning of the law.

The right of withdrawal may also be excluded for items unsealed after delivery which cannot be returned for reasons of hygiene or health protection, where this exclusion is legally applicable and has been brought to the Buyer’s attention before the Order.

Where an item is excluded from the right of withdrawal, this information is clearly indicated on the product page before the Order is confirmed.

No exclusion may have the effect of depriving the Buyer of their rights under the legal guarantees.

12.3 Effects of withdrawal

In the event of a valid withdrawal, the Professional Seller confirms that the request is being handled, indicates the return address, provides the label where the return is at the Professional Seller’s expense and refunds the Buyer, within the legal time limit, all sums paid, including standard delivery costs.

The additional costs resulting from the choice of a delivery method more expensive than the standard method are not refunded.

A Buyer who wishes to exercise their right of withdrawal must return the items in their original packaging, complete and new.

The refund is made without undue delay and at the latest within fourteen days of the date on which the Professional Seller is informed of the decision to withdraw.

The Professional Seller may withhold the refund until the item has been received back or until proof of dispatch has been received, whichever is earlier.

The refund is made using the same means of payment as that used for the initial transaction, unless the Buyer expressly agrees to another means.

Article 13 – Returns policy

13.1 Return period

The legal withdrawal period is fourteen days from receipt of the item.

Some Professional Sellers grant a commercial period running from receipt of the item. This commercial period applies under the conditions indicated on the product page and does not reduce the Buyer’s legal rights.

13.2 Eligible items

In order to exercise their right of withdrawal, the Buyer must return the item in a condition allowing it to be put back on sale, subject to the handling necessary to establish its nature, characteristics and functioning.

Clothing may be tried on as it could be in a shop. It must not have been worn excessively, washed, damaged or made unfit for resale.

Labels, accessories, packaging and instructions must be kept where their removal is not necessary to examine the item.

The Buyer may be held liable for any diminished value resulting from handling beyond that necessary to establish the nature, characteristics and functioning of the item.

Personalised items and unsealed items which cannot be returned for reasons of hygiene or health protection are excluded where the law so provides and where this exclusion has been indicated before the Order.

13.3 Return procedure

The Buyer must follow the steps below.

They inform the Professional Seller of their decision to withdraw within the applicable period.

They obtain the return instructions in accordance with the arrangements indicated in the Order confirmation or in their tracking area.

They pack the item carefully to avoid any damage during transport.

They ship the item to the return address provided by the Professional Seller.

Where several Professional Sellers are concerned, the items must be returned separately to each address indicated by the Seller concerned.

The Buyer is invited to use a shipping method that allows proof of drop-off and tracking of the parcel to be kept.

13.4 Return costs

The direct cost of returning the item is borne by the Buyer when the Buyer exercises their legal right of withdrawal.

This rule does not apply where the Professional Seller has agreed to bear the costs, where the item delivered is non-conforming or defective, where the Seller has failed to inform the Buyer that the return costs were payable by the Buyer, or where the law provides for the costs to be borne otherwise.

In the event of a lack of conformity, the costs of returning the item are borne by the Professional Seller in accordance with the rules applicable to bringing the item into conformity.

13.5 Refund

The refund is made under the conditions set out in Article 12.

In the event of a voluntary return after expiry of the legal right of withdrawal, a refund is due only if the Professional Seller has granted an additional commercial period.

Return costs may be deducted from a refund only where they are legally payable by the Buyer and the deduction corresponds to costs actually incurred.

Article 14 – Legal guarantees

Article 14 – Legal guarantees

14.1 Legal guarantee of conformity

When buying from a Professional Seller, the Consumer benefits from the legal guarantee of conformity provided for in Articles L. 217-3 et seq. of the French Consumer Code.

The Professional Seller is liable for any lack of conformity existing at the time of delivery and becoming apparent within two years of delivery.

The Consumer may request replacement of the item. The item must be brought into conformity within a reasonable period which may not exceed thirty days, save for specific legal provisions.

Where replacement is impossible, refused or not carried out under the legal conditions, the Consumer may obtain a price reduction or the termination of the Sales Contract in the cases provided for by law.

Replacement is carried out free of charge for the Consumer and includes, where necessary, the costs of removing or taking back the item.

The legal guarantee of conformity applies independently of any commercial guarantee.

14.2 Guarantee against latent defects

The Buyer also benefits from the guarantee against latent defects provided for in Articles 1641 et seq. of the French Civil Code.

This guarantee covers latent defects in the item which make it unfit for its intended use or which so impair that use that the Buyer would not have purchased it, or would have paid a lower price for it, had they known of them.

An action based on latent defects must be brought within two years of discovery of the defect.

14.3 Implementation

Any claim based on a legal guarantee must be sent to the Professional Seller identified on the product page, with a description of the defect and, where useful, photographs or supporting documents.

TIPITAKA may forward the claim to the Seller and facilitate communication, without taking the Seller’s place in the performance of their legal obligations, unless it has expressly undertaken otherwise.

The legal guarantees do not cover defects resulting from misuse, improper care, normal wear and tear, accident, alteration of the item or a defect expressly disclosed before the sale.

Article 15 – Commercial guarantee

No commercial guarantee is granted by TIPITAKA.

Where a Professional Seller grants a commercial guarantee, it is described on the product page or in a document given to the Buyer no later than at the time the item is delivered.

The commercial guarantee specifies its content, the arrangements for its implementation, its duration, its territorial scope, its price where it is chargeable, and the identity and contact details of the guarantor.

A commercial guarantee applies without prejudice to the legal guarantees of conformity and against latent defects.

Article 16 – Complaints and after-sales service

Any complaint must be sent first to TIPITAKA, which may facilitate communication between the parties, request supporting documents, forward complaints to the Professional Sellers concerned, temporarily suspend Offers or take any measure provided for in these GTCS.

The Buyer may contact TIPITAKA at the following address: contact@tipitam.eu or by connecting to the dedicated complaints and after-sales service channel available at: matrix.tipitam.eu, or by submitting a complaint request available in their customer area where one has been created.

The buyer may also contact the Professional Seller concerned, using the contact details shown on the product page, the Order confirmation or the return instructions.

TIPITAKA handles refund requests and refunds the Buyer on behalf of the Seller. The Seller remains the legal debtor.

Claims relating to conformity, latent defects and delivery are handled by the Professional Seller who owes the corresponding obligations, without prejudice to any liability of TIPITAKA in its own right.

Article 17 – Liability of TIPITAKA

TIPITAKA is responsible for the provision of its own intermediation service, for the security of its infrastructure within the limits of good practice and for the performance of its own contractual obligations.

TIPITAKA is not a party to the Sales Contract, unless expressly stated otherwise, and therefore cannot be held liable for the obligations incumbent on the Professional Seller in respect of the performance of the sales contract.

TIPITAKA does not guarantee the permanent availability of the items published, the accuracy of all the information declared by the Professional Sellers, their solvency, the conformity of all items or the spontaneous performance of the Professional Sellers’ obligations.

TIPITAKA may remove or deactivate an Offer where it is manifestly unlawful, misleading, counterfeit, dangerous, contrary to these GTCS or reported under the conditions laid down by the applicable regulations.

Article 18 – Obligations and liability of sellers

The Professional Seller is responsible for the accuracy of their identity, status, tax information and contact details.

The Seller is responsible for the lawfulness, conformity, safety, authenticity, availability, description and delivery of the items offered.

The Professional Seller assumes the legal obligations attached to the status of professional, in particular with regard to pre-contractual information, invoicing, the right of withdrawal, guarantees, consumer mediation and consumer protection.

The Seller indemnifies TIPITAKA against the financial consequences of any breach attributable to the Seller, subject to the applicable mandatory rules and to proof of loss directly linked to that breach.

Article 19 – Content, listings and reports

The Professional Seller remains responsible for the content they publish on the Platform.

They warrant that they hold the necessary rights to the photographs, texts, trade marks, logos and other elements included in their Offers.

Any person may report to TIPITAKA an Offer that may contain unlawful, misleading, counterfeit or dangerous content at the following address: contact@tipitam.eu or by using the reporting function available on each product page.

The report must include a sufficiently precise description of the content concerned, the URL of the Offer and the reasons for the report.

TIPITAKA may request additional information and take appropriate measures within a reasonable time.

Article 20 – Personal data

TIPITAKA processes users’ personal data in accordance with European Regulation 2016/679 and the applicable French regulations.

The purposes, legal bases, retention periods, recipients, data subjects’ rights and contact arrangements are set out in the privacy policy available at the following address: tipitam.eu/privacy-and-cookies.

Data may be processed in particular for the creation and management of accounts, the processing of Orders, payment, delivery, fraud prevention, complaint handling, compliance with legal obligations and the improvement of the Platform.

Data necessary for the performance of an Order may be disclosed to the Seller concerned, the carrier, the payment service provider and the technical service providers strictly necessary for the performance of the service.

Each user has the rights provided for by the regulations, in particular the rights of access, rectification, erasure, restriction, objection and portability where these rights apply.

Requests may be sent to the following address: tipitam@tipitam.eu.

Article 21 – Intellectual property

The structure of the Platform, its software, databases, texts, distinctive signs, graphics, logos, photographs, trade marks and content belonging to TIPITAKA are protected by the applicable intellectual property provisions.

Any unauthorised reproduction, representation, adaptation, extraction or reuse is prohibited.

The trade mark of the Professional Seller, as well as the illustrations, images and logos appearing on the items, their accessories and their packaging, whether registered or not, are and shall remain the exclusive property of the Professional Seller.

The Professional Seller grants TIPITAKA, for the duration of publication of their Offer and for the purposes of operating the Platform, a non-exclusive, worldwide and free licence to reproduce, represent and adapt the content necessary for the presentation of the Offer.

Article 22 – Suspension and deletion of an account or an offer

TIPITAKA may suspend or delete an Offer, restrict access to the Platform or terminate an account in the event of a breach of these GTCS, fraud, publication of unlawful content, sale of a prohibited or dangerous item, failure to pay, infringement of the rights of a third party or risk to the security of users.

Where appropriate and compatible with the urgency or seriousness of the facts, TIPITAKA informs the user concerned of the reasons for the measure taken.

The deletion of an account does not deprive users of their rights relating to Orders already concluded, refunds or legal guarantees.

Article 23 – Consumer mediation

Any Consumer must first send a written complaint to TIPITAKA.

Where a dispute with a Professional Seller and/or TIPITAKA could not be settled following a prior complaint, the Consumer may refer the matter, free of charge, to the consumer mediator to which TIPITAKA is subject.

Article 24 – Governing law and dispute resolution

These GTCS are governed by French law. This provision does not deprive the Consumer of the mandatory provisions applicable to them under the law of their country of residence where those provisions cannot be derogated from by agreement.

For disputes between a Professional Seller and a Buyer, the Seller and the Buyer must bring proceedings before the competent courts in accordance with the rules applicable to their relationship and to their respective status.

No clause of these GTCS may have the effect of depriving the Consumer of the right to bring proceedings before the competent courts or of making prior mediation mandatory before the matter is brought before a court.

Article 25 – Modification of the GTCS

TIPITAKA may amend these GTCS to take account of legal, regulatory, technical or commercial developments.

The applicable GTCS are those accepted by the Buyer at the time of the Order.

Any substantial amendment to the conditions applicable to Professional Sellers is brought to their attention within a reasonable period before it comes into force.
